Endo to Acquire American Medical Systems and Advance its Diversification

Abstract


In what is the company’s largest acquisition to date, Endo Pharmaceuticals has entered into a definitive agreement to buy American Medical Systems (AMS), a medical device company specialising in pelvic health, for US$30 per share or US$2.9 B in cash. The transaction value also includes the assumption and repayment of US$312 M of AMS debt. The acquisition will boost Endo’s urology franchise and increase its commitment to medical devices, thus balancing the company’s integrated business model.
