Supernus and Indivior Merge to Create a CNS-Focused Drug Company

Abstract
Supernus Pharmaceuticals and Indivior Pharmaceuticals have agreed to merge through a tax-free, all-share transaction, creating a diversified central nervous system (CNS) biopharmaceutical company projected to generate approximately US$2.2 B in pro forma revenue. The merger will strengthen the combined portfolio across ADHD, epilepsy, Parkinson’s disease, postpartum depression and addiction treatment. In addition, the transaction is expected to provide immediate scale and deliver around US$125 M in annual cost synergies. The combined company will operate as Supernus Inc., with completion of the merger anticipated in the fourth quarter of 2026.
